Terms & Conditions VPhS

These Terms & Conditions ("Terms") govern your access to and use of the VPhS (Veterinary Pharm Standard) website, online catalog, and shop at vphs.pro (the "Website"), including browsing our veterinary and zootechnical audit services, requesting factoring financing, and ordering products through our shop. By using the Website or placing an order, you agree to be bound by these Terms.

1. Definitions

"We", "Us", "Our", "VPhS" refers to Veterinary Pharm Standard, a veterinary pharmaceutical company engaged in the research, development, production, and distribution of pharmaceutical and biological products for poultry, swine, cattle, and companion animals across the EAEU market.

"You", "Your" refers to any visitor, client, distributor, pharmacy, clinic, or agricultural enterprise that accesses the Website or places an order with VPhS.

"Products" refers to the veterinary pharmaceuticals, feed additives, and related items listed in our shop. "Services" refers to our veterinary audit, zootechnical audit, gut-health, and factoring services described on the Website.

2. Use of the Website & Orders

The Website is provided to help distributors, pharmacies, clinics, farms, and agricultural holdings review our Products and Services, request audits, and place orders. Placing an order through the shop constitutes an offer to purchase, which VPhS may accept, decline, or adjust based on stock availability, credit standing, or applicable regulation.

• Product prices, availability, and packaging shown on the Website are indicative and may be updated without prior notice.
• Order confirmation, invoicing, and delivery timelines are communicated directly by your account manager once an order is placed.
• You are responsible for providing accurate business, licensing, and contact information when registering an account or requesting a quote.

3. Product & Regulatory Compliance

Dosage, composition, target animals, shelf life, and withdrawal periods published on Product pages are provided for general reference and do not replace the official package insert or the guidance of a licensed veterinarian. You agree that you will:

• Use VPhS Products only for their intended veterinary or zootechnical purpose, in accordance with the product label and applicable law.
• Hold any license, permit, or veterinary authorization required in your region to purchase, store, or administer the Products.
• Not resell, relabel, or redistribute Products outside the terms agreed with VPhS or in violation of EAEU veterinary regulations.
• Not use the Website's content, images, or audit methodology to represent it as your own or to compete with VPhS's audit and consulting services.

4. Factoring & Payment Terms

Distributor and pharmacy partners purchasing VPhS Products on deferred payment terms may be eligible for our factoring programme, described in full on our Factoring service page. Under this programme:

• Factoring converts your outstanding VPhS invoices into working capital and does not constitute a loan or add debt to your balance sheet.
• Credit limits, advance rates, and fees are agreed individually and depend on your purchase volume, order history, and buyer risk profile.
• Standard (non-factored) orders are payable according to the invoice terms confirmed at checkout or by your account manager.

5. Liability & Changes

VPhS audit findings, gut-health recommendations, and product guidance are provided in good faith based on the information available at the time of assessment. VPhS is not liable for losses arising from misuse of Products, failure to follow veterinary guidance, or decisions made independently of our recommendations.

We may update these Terms, our Product catalog, or Service descriptions from time to time to reflect regulatory changes or business needs. Continued use of the Website after an update constitutes acceptance of the revised Terms.

• These Terms are governed by the laws of the Russian Federation, without prejudice to any mandatory veterinary or consumer-protection regulation applicable in your EAEU country of operation.
